Shipping Terms
The products shall be shipped EXW, Irvine, California. Buyers shall be responsible for all shipping costs, insurance, and arrangements. CALTEX is not liable for delays in delivrey due to cause beyond our reasonable control (e.g. acts of God, strikes, freight embargoes, failure or delay by our suppliers).
Limitation of Liability
CALTEX’s liability is limited and capped at the purchase price of the specific item causing the claim.
Indemnification
Buyers will indemnify and defend CALTEX against claims, damages, costs, and expenses (including attorney’s fees) arising from Buyers’ use or misuse of the products, Buyers’ breach of the agreement, or injury or property damage caused by Buyers’ negligence or willful misconduct.
Cancellation Penalty
Cancellation prior to shipment will be subject to a cancellation penalty of twenty-five (25%) of the total purchase price.
Jurisdiction and Applicable Law
Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of California.
California’s state and federal courts will be the proper venue for any disputes arising out of or relating to the Agreement and any access to or use of our Services.
Changes
CALTEX Scientific reserves the right, at our sole discretion, to modify or replace these Terms at any time.
If we make material changes, we will let you know by posting on our website or sending you an email or other communication before the changes take effect. The notice will designate a reasonable time, after which the new terms will take effect.
